We regularly serve as general counsel of corporations providing them legal consultancy services in all aspects of their organization and commercial operation or represent them in ad hoc issues. Our clients range from start up enterprises to middle sized companies and multinational corporations, which have expanded their activities to Greece.
Among others our lawyers have been involved in the establishment of businesses and branches or representative’s offices by advising our clients with regard to the choice of the appropriate corporate type and by drafting articles of association and shareholders’ agreements. We have further consulted or represented our clients before courts in matters related to the operation of a company, such as issues of corporate governance, including director and officer liability, minority rights, rights of the members of the Board of Directors or issues related to the validity of decisions of General Assemblies or Boards of Directors.
Our office further advises both foreign and domestic corporations in joint venture and M & A activity. We are experienced in the due diligence process and the structuring and documentation of M & A transactions including preparation of share purchase, shareholders’ agreements and the filing of the required documentation before the competent authorities, such as the Competition Commission.
